The Act to Modernize the Law Governing Private Limited Companies and to Combat Abuse, which took effect on Nov. 1, 2008, has resulted in a radical reform of the German Law Pertaining to Companies with Limited Liability (GmbH). In particular, it has led to massive changes in the law pertaining to the provision and maintenance of capital, it has created a new basis for the granting of loans by the partners, it has strengthened the responsibility held by the managing directors for crises and enabled the acquisition of shares in the private limited company in good faith. The Accounting Law Modernization Act and the Shareholder Rights Directive have also led to further changes in the law pertaining to companies with limited liability. The supplementary volume to the commentary contains complete annotations of the new regulations in the Law Pertaining to Companies with Limited Liability. If there have been changes in the previous regulations, each of the accounts is a follow-up of the annotations on the changed regulation in the main work and thus contains only an explanation of the actual changes. This means that the supplementary volume guarantees the sustained topicality of the commentary.
